MONOVANCE LTD – BlazorUI (v 1.0)
Effective date: 7 July 2025
Compliance: Consumer Contracts Regulations 2013; Consumer Rights Act 2015; UK GDPR; PECR 2003; Age‑Appropriate Design Code 2020
1. Definitions
- “Platform” – the website blazorui.com and all associated sub‑domains operated by MONOVANCE LTD.
- “Content” – any text, code, graphics, video, template, PDF, download or other digital asset made available through the Platform.
- “User” – any natural person who accesses the Platform, whether registered or guest.
- “Account” – a password‑protected profile created with a verified e‑mail address granting personalised access to the Services.
- “Services” – supply of digital templates, component libraries, consultancy, support and other features offered via the Platform.
2. Acceptance & Age Restriction
By accessing or using the Platform you agree to be bound by these Terms, the Privacy Policy and the Refund & Cancellation Policy (together, “Agreements”). You confirm that you are at least 18 years old and have full legal capacity to enter into binding contracts. We do not knowingly collect or process data from persons under 16.
3. Account Registration & Security
- Provide truthful, current and complete information at registration and update it promptly.
- Keep credentials confidential; you are liable for all activities under your Account.
- Maximum two concurrent sessions (distinct IP/devices) are permitted; additional log‑ins may trigger automatic suspension.
- Implement reasonable security measures on your own devices (UK GDPR Art 32).
4. Acceptable Use
You must not:
- Post or transmit content that is unlawful, defamatory, harassing, hateful or discriminatory (Equality Act 2010).
- Use bots, scrapers or other automated means to access or extract Content.
- Upload malware or engage in any activity that disrupts or degrades the Platform.
- Violate export‑control or sanctions laws, launder money, commit fraud or facilitate illegal conduct.
- Send unsolicited commercial communications (spam) or misleading promotions.
We may investigate suspected breaches and cooperate with law‑enforcement authorities.
5. Intellectual Property
All Content is owned by MONOVANCE LTD or its licensors and is protected by UK and international intellectual‑property law. Subject to full payment of any applicable fees, we grant you a non‑exclusive, non‑transferable, revocable licence to use purchased templates for your own internal or client projects. You may not resell, redistribute or publicly post any portion of the Content without prior written consent. Unauthorised reproduction incurs liquidated damages of £50 per individual file plus our legal costs.
6. Notice‑and‑Takedown
Infringement notices under the Copyright, Designs and Patents Act 1988 (ss 97A) should be sent to ip@monovance.com and must include:
- the claimant's full contact details;
- identification of the copyrighted work;
- exact URL of the allegedly infringing material;
- a good‑faith statement and signature.
Valid notices will be reviewed and acted upon within 48 hours, which may include temporary removal while the claim is investigated.
7. Export Control & Sanctions Compliance
You agree to comply with all applicable sanctions and export‑control regimes, including UK OFSI, US OFAC and the Export Administration Regulations (EAR). Access to the Services from embargoed territories or by persons on sanctions lists is prohibited.
8. Fees, Payments & Taxes
Prices are payable up‑front via Stripe in the currency shown at checkout. Bank charges, exchange‑rate fluctuations and any applicable VAT or local taxes are your responsibility. All sales are final subject to the statutory rights and the Refund & Cancellation Policy.
9. Disclaimers & Limitation of Liability
- The Platform and Content are provided "as is" without warranties of any kind, express or implied (including fitness for a particular purpose, non‑infringement, accuracy or availability).
- To the fullest extent permitted by law, we exclude liability for indirect, incidental, punitive or consequential loss (including loss of profits, data or business).
- Our aggregate liability arising from or in connection with the Agreements shall not exceed (a) the total fees you paid in the preceding 12 months, or (b) £1,000 – whichever is lower.
- Nothing limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless MONOVANCE LTD, its directors, employees and agents from any claims, damages, costs (including reasonable legal fees) arising out of:
- your breach of the Agreements or any applicable law;
- third‑party allegations that your use of the Services infringes their rights;
- any content or data you submit to the Platform.
11. Force Majeure
Neither party shall be liable for failure or delay caused by events beyond reasonable control, including war, pandemic, cyber‑attack, natural disaster or changes in law. In such cases performance is suspended and any subscription period will be extended rather than refunded.
12. Suspension & Termination
We may suspend or terminate your Account, without prior notice, if we reasonably believe you have violated the Agreements or pose a security or legal risk. Upon termination all licences and access rights cease immediately and you must delete any copies of the Content.
13. Changes to the Terms
We may amend these Terms unilaterally. The latest version will be posted at blazorui.com/terms‑of‑use and becomes effective upon publication. Material changes will, where practicable, be notified by e‑mail or in‑app message. Continued use of the Services after changes take effect constitutes acceptance.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction to settle any dispute arising from or related to the Agreements. The Contracts (Rights of Third Parties) Act 1999 does not confer any rights on third parties.
15. Entire Agreement
The Agreements constitute the entire understanding between you and MONOVANCE LTD and supersede all prior oral or written communications. If any provision is held unenforceable, the remaining provisions remain in full force.
